Acceptance of Terms
Please read these Terms and Conditions carefully before using the Labby application or any of the services available through it.
The User agrees to these Terms and Conditions, the Privacy Policy and the specified annexes presented to them by means of an affirmative electronic action upon registration, with the opportunity to review them before acceptance. The Company keeps a record linking the acceptance to the User, its date and the accepted version.
Amendments to the Terms and Conditions and to the Services are subject to the notification and acceptance procedures set out in Clause 14.
Definitions
For the purposes of these Terms and Conditions, the following terms shall have the meanings set out opposite each of them, unless the context requires otherwise:
The Company:
Labby Technology Services LLC, registered under No. 0111023536 in the Syrian Arab Republic, which owns and operates the Labby application and is responsible for managing and operating the platform and for providing technical intermediation services between Users and Service Providers, in accordance with these Terms and applicable laws.
Labby or the Application:
The smartphone application and digital platform belonging to the Company, which enables Users to request transportation services and enables Service Providers to receive and fulfil those requests.
Account:
The electronic account created by a User or Service Provider in order to use the services available through the Application.
Service Provider and Driver:
Service Provider: a natural person approved by the Company to provide transportation services through the Labby application. Driver means a natural person licensed to drive who personally performs the trip through their own personal account. If the Company approves a legal-entity Service Provider or a fleet company, the terms of its onboarding, its responsibilities and the accounts of the Drivers associated with it shall be set out in a separate agreement consistent with the licence. A legal entity shall not be deemed a Driver, and its approval shall not permit the transfer or trading of Driver accounts.
User:
Any person who uses the Labby application to benefit from the services available on it, including Riders and Service Providers, each according to the nature of their use of the Application. Rider or Beneficiary means the person who requests or benefits from the transportation service; the provisions on requesting a trip and paying its fare apply to them, while the common provisions apply to every User according to their capacity.
Services:
All services provided or requested through the Labby application, access to which the Company facilitates by connecting Users with the providers of those services through the platform.
Privacy Policy:
The policy that explains how Users’ personal data is collected, used and protected, and which forms an integral part of these Terms and Conditions.
Refund:
The return of a sum of money, or the portion of it that is due, to its owner in the cases and in accordance with the time periods and methods set out in Clause 9, without prejudice to rights established by law.
Registration:
The procedures for creating a new account within the Application and enabling the use of the Services.
-
Nature of Labby’s Services
The Labby application provides a technology platform that connects Users with transportation Service Providers in order to make requesting and managing trips more efficient and convenient.
The Company’s obligations and role are set out in Clause 10.1, and the Driver’s status and the nature of their relationship with the Company are governed by Clause 7.5.1. The independence of the Service Provider does not negate the contractual obligations arising from the use of the platform or the Company’s legal and licensing obligations.
Service Providers may register on the Application in accordance with the objective and published approval criteria set out in Clause 4.2. Suspension or termination of an account is governed by Clauses 13 and 7.5.12.
The Service Provider shall pay the Company’s commission or the platform usage fee, according to the type of consideration agreed. The rate or amount, the basis of calculation, settlement dates, incentives, deductions and the objection mechanism shall be set out in a known financial schedule or annex presented to and accepted by the Service Provider before starting to provide the Services. Any amendments to it are subject to the procedures of Clause 14 and shall not apply retroactively to entitlements that arose before they took effect.
-
General Provisions on the Use of the Application and Services
-
Scope of the Terms
These Terms and Conditions apply to all services provided by the Labby application and to all transactions carried out through it, including creating accounts, requesting trips, and using any of the features or services offered by the platform.
-
Geographic Scope of the Service
Labby’s services are provided within the cities and areas in which the Company announces that its services are available. The Company does not guarantee the availability of the Application or all of its services in any other area, and use of the Application outside the announced operating area is at the User’s sole responsibility, subject to their compliance with the local regulations and laws in force at the place of use.
-
Permitted Use
The Labby application is intended for lawful personal use, except for the professional use of Drivers and Service Providers registered with and approved by the Company, within the limits of the activities and services they are authorised to provide through the Application and in accordance with these Terms and Conditions. The Application may not be used for any other commercial purpose, operated on behalf of third parties, or used to resell or exploit the Services by any means, without the Company’s prior written consent and in compliance with applicable laws and regulations.
-
Suspension or Restriction of Use
Procedures for restricting, suspending or terminating use are subject to the grounds, controls, notification, objection and settlement of entitlements set out in Clause 13, taking into account the Driver-specific provisions in Clause 7.5.12.
-
Devices and Internet Connection
Using the Labby application requires a compatible device and an active connection to the internet or a telecommunications network. The Company bears no responsibility for connection costs, data service charges, or any other charges or fees imposed on the User by telecommunications companies or internet service providers as a result of using the Application.
The User also acknowledges that the quality of the service may be affected by factors beyond the Company’s control, such as weak network coverage, loss of connection, or technical faults in their own device.
-
Use of Third-Party Devices
If the Application is used through a phone or device not owned by the User, the User acknowledges that they have obtained all necessary consents from the owner of the device, and their responsibility for the use of the account is determined in accordance with Clause 4.1.
-
User-Provided Content
The Application may allow the User to upload images, documents, texts or any other content upon registration or while using the Services.
The User confirms that all materials they provide are owned by them or that they hold the legal right to use them, and that they do not infringe the rights of any other party.
The User also grants the Company a non-exclusive, royalty-free licence to use, run, copy, process and display this content to the extent necessary to provide and improve the Services or to meet operational and regulatory requirements, for as long as necessary to achieve these purposes. This licence does not include publishing identity data or personal documents or displaying them to the public; the processing of such data and documents is limited to specified and lawful purposes in accordance with the Privacy Policy and the law.
-
Use of the Application by Minors
Persons under the age of eighteen (18) may not create an independent account on the Labby application or use it to request transportation services. Minors may benefit from transportation services provided they are accompanied by an adult, subject to applicable laws and regulations.
-
Registration and Account Creation
-
Creating an Account
Using certain services of the Labby application requires creating a personal account using accurate, current and complete information.
The User undertakes to keep their login credentials confidential and bears full responsibility for all activities carried out through their account, unless it is proven that such use resulted from a breach or an error not attributable to them.
-
Approval of Service Providers
The registration of transportation Service Providers is subject to review by the Company and to meeting the legal and technical requirements, vehicle and safety standards, and identity verification requirements that the Company publishes before the application is submitted. Acceptance or rejection of the application is based on meeting these criteria, with the reason for any rejection stated. Suspension and termination procedures are governed by Clauses 13 and 7.5.12.
-
Updating Information
The User undertakes to provide correct, accurate and complete data and information, and to update it as soon as any change occurs. The User bears legal responsibility for any damage arising from providing incorrect, inaccurate or misleading data, where their responsibility is established in accordance with applicable laws and regulations. The User may correct errors that are capable of correction; this does not extend to cases of forgery or material misrepresentation. Violations and the resulting measures are governed by Clause (13) of these Terms and Conditions.
-
Account Cancellation
The User may request the closure of their account, with the Company retaining the right to keep data that it is required by law to retain, or that is necessary to settle any outstanding obligations or disputes.
-
User Obligations
The User shall comply with the applicable regulations and instructions and with these Terms as accepted under Clause 1, and their responsibility for the use of the account is determined in accordance with Clause 4.1.
-
Accuracy of Data
The accuracy, updating and correction of data are governed by Clause 4.3, and the measures resulting from any breach thereof are governed by Clause 13.
-
Lawful Use
The User shall use the Application solely for the purposes for which it is intended and in compliance with applicable laws and regulations. Using the Application in any way that may harm the Company, Users, Service Providers or any other party is prohibited.
-
Account Security
The confidentiality of login credentials and responsibility for the account are governed by Clause 4.1. The User shall notify the Company immediately upon suspecting any unauthorised use of their account.
-
Prohibited Conduct
The User is prohibited, directly or indirectly, from doing any of the following:
• Using the Application for any unlawful purpose or in breach of regulations.
• Providing forged or misleading information or documents.
• Impersonating any individual or entity.
• Creating more than one account in order to circumvent the Application’s systems or to benefit from offers unlawfully.
• Using the Application in a way that affects its operation or disrupts its services.
• Attempting unauthorised access to the Application’s systems or databases, or testing its security measures.
• Using any software or automated tools to extract data, copy content or affect the Application’s performance.
• Interfering with the operation of the Application, attempting to disable it, or loading it with abnormal technical burdens.
• Sending or publishing any content containing viruses, malware or any code that may affect the security of the Application or its users.
• Misusing support services or submitting malicious or misleading reports or complaints.
• Using the Application in a way that may damage the reputation of the Company, Service Providers or other Users.
-
Dealing with Service Providers
The Rider shall treat Service Providers with respect and refrain from any abusive conduct, threats, harassment, discrimination, or verbal or physical assault while using the service.
The Rider also undertakes not to ask the Service Provider to carry out any request that violates regulations, instructions or Company policies.
-
Obligation to Pay Fares and Fees
The Rider agrees to pay the trip fare and the announced applicable fees for the services they request through the Application, in accordance with the published prices and the approved payment mechanism. Actual taxes and government charges are shown separately when legally due, and waiting and cancellation fees are governed by Clauses 8.3 and 9.1.
Where electronic payment methods are used, the Rider authorises the Company to collect the amounts due through the payment method they have chosen.
-
Breach of the Terms
If the User breaches any provision of this Agreement, the Company may, at its discretion and in accordance with applicable laws and regulations, take any of the following measures, depending on the nature and seriousness of the breach:
-
Issuing a notice or warning to the User.
-
Suspending some of the services or features available to the User.
-
Temporarily suspending the User’s account.
-
Permanently cancelling the User’s account.
-
Taking the necessary legal action to claim compensation for any damage resulting from the breach, in accordance with applicable laws.
-
Notifications and Alerts
The User agrees to receive notifications relating to the use of the Application, including trip status notifications, security alerts, operational messages and service updates.
The User also agrees, when location services are enabled on their device, to the use of geolocation data to the extent necessary to provide transportation services and improve the user experience, in accordance with the Company’s Privacy Policy.
-
Trips and Service Provision
-
Requesting a Trip
The Labby application allows the User to send a trip request through the platform, and the Application presents the request to available Service Providers based on several operational factors, such as geographic location, availability and the efficiency of request allocation.
Sending a request does not constitute final acceptance to perform the trip, as a trip is not considered confirmed until it has been accepted by a Service Provider and their details appear within the Application.
-
Fare Estimate
The Application may display an estimated fare for the trip before the request is confirmed, calculated on the basis of a number of factors, including:
• The pick-up point and destination.
• The expected distance.
• The estimated trip duration.
• Demand conditions at the time of booking.
• Any announced additional fees, or legally due taxes or government charges, disclosed within the Application.
The User acknowledges that the final fare may differ from the initial estimate if the circumstances, route or duration of the trip change.
-
Performing the Trip
The Rider agrees to be present at the specified pick-up location when the Service Provider arrives and undertakes to provide accurate information that helps the trip to be performed correctly.
If the trip cannot be performed because of incorrect information from the Rider, or the Rider’s failure to respond or absence from the correct pick-up location after the free waiting period announced before the request was confirmed has expired, the trip may be cancelled and the announced cancellation fee applied, if due under Clause 9.1.
-
Responsibilities of the Service Provider
The Service Provider shall provide the service in accordance with applicable regulations and instructions and maintain an appropriate professional standard when dealing with Riders, and is subject to the detailed obligations set out in Clause 7.5.
-
Additional Provisions Specific to Drivers
The provisions of this Clause apply to all Drivers registered and approved to provide passenger transportation services through the Labby application, whether they use vehicles they own or vehicles they have the legal right to use. These provisions supplement the other terms and conditions of this Agreement.
-
Independent Status of the Driver
The Driver uses the platform as an independent Service Provider, and their mere registration on or use of the Application does not create an employment, agency or partnership relationship with the Company. The Driver has no actual or apparent authority to represent the Company, enter into contracts or create obligations in its name. The legal nature of the relationship shall be determined according to how it is actually performed and the mandatory provisions of Syrian law, and this provision does not preclude the application of any rights or obligations established by law.
-
Availability and Acceptance of Trips
As a general rule, the Driver is free to determine their hours of availability and to log in to and out of the Application without any obligation to remain online for a specific period, and may accept or decline trip requests before accepting them, subject to legal obligations, safety requirements, non-discrimination and the announced operational policies. Once a trip has been accepted, the Driver shall perform it or cancel it in accordance with the approved controls and in a manner that safeguards the safety of Riders.
-
Limits of the Platform Rules
The rules on registration, identity verification, vehicle and safety standards, service quality and compliance are intended to regulate the use of the platform and protect its users, and shall not in themselves be construed as conferring employment supervisory authority over the Driver; this is without prejudice to the legal characterisation of the relationship according to its actual nature.
-
Licences and Documents
The Driver shall hold a valid driving licence appropriate to the vehicle category and the service, ensure that the vehicle’s registration, insurance and the permits and approvals legally required to carry passengers for payment remain valid, provide correct and up-to-date documents upon request, and notify the Company immediately if any of them expires, is withdrawn or changes. Acceptance of the vehicle on the Application is not a substitute for any official licence or approval.
-
Vehicle Roadworthiness and Maintenance
The Driver shall use only the vehicle approved on their account and shall verify before each trip that it is technically and mechanically roadworthy, clean and that its equipment is in safe condition, carry out the necessary periodic maintenance and inspections, and not operate an unsafe or unlicensed vehicle. Responsibility for maintenance costs is determined according to ownership or the lawful agreement with the vehicle owner, without prejudice to the Driver’s legal obligations.
-
Compliance with Law, Conduct and Safety
The Driver shall comply with traffic, transportation and insurance laws and all other relevant Syrian legislation, respect Riders, and refrain from discrimination, harassment, threats, reckless driving or using the phone in a way that compromises safety. Driving the vehicle or providing the service under the influence of alcohol, drugs or any substance that impairs the ability to drive is prohibited. The Driver shall report accidents and dangerous incidents and cooperate with the competent authorities in accordance with the law.
7.5.7 Fraud Prevention and Account Protection
The Driver’s account is personal and may not be lent or sold, nor may any third party be allowed to use it or perform trips on the Driver’s behalf through the account. Impersonation, providing forged data or documents, creating fictitious trips, or manipulating geolocation (GPS), fares, offers, trip allocation mechanisms or any other technical or fraudulent means is prohibited. The Driver shall protect their login credentials and notify the Company immediately of any unauthorised use.
-
Use of a Vehicle Owned by a Third Party
The Driver may request approval of a vehicle not registered in their name only if the use of that vehicle by a person other than its owner to provide passenger transportation services for payment is permitted under Syrian laws and instructions and the applicable licensing and insurance requirements. The Driver must prove their legal right to use the vehicle by means of a power of attorney notarised before a notary public, issued by the owner and permitting the intended use, including commercial passenger transportation where required. The owner’s mere permission is not sufficient where the regulations require a licence or a specific ownership status.
-
Documents for a Vehicle Owned by a Third Party
The Driver shall provide the vehicle ownership documents, the notarised power of attorney permitting its use, and the required registration, insurance and permits, and shall verify their validity and currency and that the insurance coverage extends to the type of service and the Driver where applicable. The Driver shall notify Labby immediately of any change in ownership, the power of attorney, insurance or the right of use, including the withdrawal of the owner’s consent.
The Driver acknowledges the validity and currency of the notarised power of attorney issued by the vehicle owner, and that it authorises them to use the vehicle to provide transportation services through the Labby platform. The Driver is responsible for the accuracy of the data and documents they provide and undertakes not to provide any document that is incorrect, expired or contains misleading information.
The Driver also undertakes to notify the Company as soon as they become aware that the power of attorney has expired, been revoked, that they have been removed as attorney, or that its scope has been amended in a way that affects their right to use the vehicle, or that this right has ceased for any other reason, and to stop providing services using the vehicle until a valid power of attorney is provided.
-
Responsibility for the Vehicle and the Owner’s Rights
The Driver, within the limits established by law and lawful agreements, bears responsibility for the use of the vehicle, compliance with safety and traffic rules, and its upkeep while providing the service. Disputes relating to ownership of the vehicle or the right to use it remain between the parties concerned, unless the Company is legally liable for an act or omission attributable to it. The mere registration of a vehicle owned by a third party does not create a contract, agency or partnership between the Company and its owner, unless a separate agreement is concluded or the law provides otherwise.
The mere ownership of the vehicle, or its registration in the name of a person other than the Driver, does not give its owner any right to claim from the Company the financial entitlements due to the Driver for trips performed through the Labby platform, or to receive those entitlements or direct their payment. Entitlements are settled and paid to the Driver who holds the account in accordance with the approved payment mechanism, the terms and the applicable financial annex.
Financial arrangements between the Driver and the vehicle owner, and their effects, remain between those two parties; the Company is not a party to them or a guarantor of their performance, and this Clause does not prejudice the right of either of them to have recourse against the other in accordance with the law.
An exception applies where there is a separate agreement to which the Company is a party governing the payment of entitlements, or an enforceable legal instrument against the Company requiring otherwise, including an effective assignment of rights, an attachment, or an enforceable court decision.
-
Rejection or Suspension of a Vehicle
The Company may, in accordance with the law and by a measure proportionate to the violation, refuse to approve a vehicle, suspend it or remove it from the platform if its documents are incomplete, expired or incorrect, if serious doubt arises as to the right to use it, or if it does not meet the technical, legal or insurance requirements. Additional documents may be requested for verification, subject to any mandatory procedures established by law.
-
Suspension of the Driver’s Account and Legal Liabilities
Procedures for suspending, restricting or terminating a Driver’s account are governed by Clause 13, particularly in the event of a material violation, a safety risk, fraud or loss of licence. No provision of these Terms shall be construed as exempting the Company, the Driver or the vehicle owner from any liability that cannot be excluded under Syrian law, in particular third-party rights, compensation, and regulatory and insurance obligations.
-
Payments, Fares and Fees
-
Value of the Service
The Rider’s payment obligation is governed by Clause 5.6, in accordance with the prices and pricing mechanism published at the time the service is provided. Driver settlements, the Company’s commission or platform usage fee, incentives and deductions are set out in the financial schedule or annex referred to in Clause 2, separately from the trip fare payable by the Rider.
-
Payment Methods
The Application may offer more than one payment method, including:
• Cash payment.
• Bank cards.
• Electronic wallets.
• Any other payment method the Company may approve in the future.
The Company reserves the right to add or discontinue any payment method at any time.
-
Additional Fees, Taxes and Government Charges
Announced additional fees may apply, including waiting fees and cancellation fees under Clause 9.1, provided that their amount or method of calculation, their beneficiary and the conditions under which they become due are shown before the request is confirmed. Legally due taxes and government charges, if any, are shown separately together with their legal basis and the beneficiary authority, and the Company’s commission is not included in government charges.
-
Payment Disputes
If the Rider disputes the fare calculated for any trip or believes it contains an error, they must contact customer service within the period specified by the Company and provide the information and documents needed to verify the calculated amount. The Company shall review the dispute and take appropriate action in accordance with its approved policies and applicable laws and regulations.
-
Trip Cancellation and Refunds
-
Cancelling a Trip
The Rider or the Service Provider may cancel a trip before it begins in accordance with the operational controls adopted by the Company.
A cancellation fee may be charged if the cancellation is made after the trip has been accepted or after the free period specified in the Application has expired.
-
Refunds
Refund requests are subject to the Company’s policies and to the nature of the reason for the request, and each case is considered individually in accordance with what is required by law or these Terms, taking into account any announced fees legally due under Clause (9.1).
If a refund of any amount is approved, it will be made in the manner the Company considers appropriate, using the means available according to the payment method used, subject to applicable financial regulations and instructions.
-
Faults or Circumstances Beyond Control
If a trip cannot be performed due to a technical fault, operational circumstances or events beyond control, the Company may take the action it considers appropriate to address the situation, including rescheduling the service, cancelling the trip or refunding the amounts due, on a case-by-case basis in accordance with what is required by law or these Terms.
-
Limitation of Liability
-
Nature of the Platform’s Role
The nature of Labby’s services and the role of the platform are set out in Clause 2. The Company does not itself provide the transportation service unless expressly agreed otherwise or required otherwise by law.
The Company undertakes to operate the platform and to manage the digital services, collections and settlements it handles, verification procedures, complaint handling and data protection, in accordance with these Terms, the law and the licence. The existence of a direct transportation agreement between the Rider and the Service Provider does not prejudice these independent obligations, nor does it negate the contractual relationship between the Company and the users of the platform.
-
Service Availability
The Company makes reasonable efforts to ensure the continuous operation of the Application and to improve its performance, but does not guarantee that it will operate without interruption or be free from technical faults, delays or unexpected errors. The Company does not guarantee the availability of a specific number of Service Providers or the acceptance of all trip requests at all times.
The Company may also temporarily suspend certain services for maintenance, development or any other operational reasons, with prior notice of scheduled downtime and its expected duration in accordance with the applicable licensing obligations, without this giving rise to any obligation to pay compensation.
-
User Responsibility
The User bears full responsibility for their use of the Application and for all decisions they make while using the Services, including choosing the Service Provider, setting the destination, or sharing any information through the Application.
-
Force Majeure
The Company bears no responsibility for delay in or inability to provide the Services if this results from circumstances beyond its control, including natural disasters, wars, security disturbances, telecommunications network outages, government decisions, or any events that cannot be foreseen or controlled.
-
Intellectual Property
All rights relating to the Labby application, including the trade name, trademarks, logos, visual identity, designs, software, databases, texts, images, content and any other elements contained in the Application, are owned by the Company or its licensors and are protected under applicable laws and regulations.
The User may not copy, modify, reproduce, distribute, sell or exploit any part of the Application or its content by any means without obtaining the Company’s prior written consent.
Any attempt to decompile the Application’s source code, reverse engineer it, develop derivative works from it, or use it in a way that infringes the Company’s intellectual property rights is also prohibited.
-
Privacy and Data Protection
The Company undertakes to collect, use and process Users’ personal data in accordance with its Privacy Policy.
The User agrees to the processing of the data necessary to operate the Application, including registration data, contact data, geolocation, trip history and payment data, to the extent necessary to provide and improve the Services and to comply with regulatory requirements.
The Company undertakes to take appropriate technical and administrative measures to protect data against unauthorised access, use or unlawful disclosure, bearing in mind that the protection of any electronic system cannot be guaranteed absolutely.
-
Account Suspension and Termination
The Company may, without prejudice to rights established by law, take a proportionate measure, starting with a notice, warning or restriction of certain features and extending, where necessary, to suspension or termination of the account, if any of the following occurs:
• Breach of these Terms and Conditions.
• Misuse of the Application or its services.
• Providing materially forged or misleading data or documents, or refusing to correct a material error after notification, subject to Clause 4.3.
• Committing any act that threatens the security of the platform or the safety of users.
• Complying with a request issued by a competent authority or fulfilling legal requirements.
The User may also close their account at any time in accordance with the procedures adopted by the Company, with the Company retaining the data that must be retained by law or for the purposes of settling outstanding obligations or disputes.
-
Amendments to the Services and Terms
The Company reserves the right to develop the Application, modify its services, add new features, discontinue certain services or amend these Terms and Conditions whenever it considers this necessary for operational, regulatory or commercial reasons.
The Company shall notify the User of material amendments through the Application, text messages or any other approved means of communication. Amendments become effective from the date of their publication within the Application or through any notification method adopted by the Company, and the User’s continued use of the Application thereafter constitutes acceptance of the amendments.
If the User does not agree to the amendments notified, they have the right to stop using the Application and request the closure of their account, provided that any outstanding entitlements or balances are settled in accordance with the terms in force before the amendment.
-
Governing Law and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws in force in the Syrian Arab Republic, unless mandatory regulations provide otherwise.
The parties shall seek to settle amicably any dispute relating to the use of the Application or the interpretation of these Terms. If settlement is not possible, jurisdiction shall lie with the competent courts of the Syrian Arab Republic in accordance with the applicable legal rules.
-
Final Provisions
If any provision of this Agreement is found to be unenforceable or becomes void under the law, this shall not affect the validity or enforceability of the remaining provisions, which shall remain in force and binding.
The Company’s failure to exercise any right granted to it under this Agreement shall not constitute a waiver of that right or of any other right.
These Terms, together with the Privacy Policy and the specified annexes presented to and accepted by the User, constitute the entire agreement between the User and the Company regarding the use of the Labby application and supersede any prior understandings or agreements on the same subject.
